FIRST AMENDMENT
TO
• COMMUNICATIONS SITE LEASE AGREEMENT (GROUND)
This First Amendment to Communications Site Lease Agreement (Ground) ("First Amendment")
is made as of the later signature below, by and between City of Clermont, a Florida municipal
corporation, with an address of P.O. Box 120219, Clermont, Florida, 34712-0219 (hereinafter referred to
as "Lessor") and Nextel South Corp., a Georgia corporation (hereinafter referred to as "Lessee").
WITNESSETH:
WHEREAS, Lessor and Lessee entered into a Communications Site Lease Agreement (Ground)
dated October 26, 2000 (hereinafter referred to as the "Site Agreement"), for premises consisting of
approximately six hundred and sixty (660) square feet of the Land, and all access and utility easements, if
any (hereinafter collectively referred to as the "Premises") located in the City of Clermont, County of
Lake, State of Florida more commonly known as 400 12th Street, Clermont, Florida, 34712 (hereinafter
referred to as the "Property"); and
WHEREAS, Lessor and Lessee agree that the Agreement provides that Lessee shall have the right
to operate communications services at the Premises; and "
WHEREAS, the parties now desire to amend the Site Agreement in order to increase the square
footage of Lessee's Premises, to modify the facilities to install a generator and supporting equipment, to
adjust the Rent, and update the Lessee's notice addresses.
• NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties
agree as follows:
1. Item 1 of the Site Agreement, Premises, is amended to reflect an increase of 120 square
feet as illustrated on Exhibit B-1 attached hereto.
2. Item 5 of the Site Agreement, Rent, is amended to reflect an increase in the current
monthly installments of Two Hundred and 00/100 Dollars ($200.00). The monthly Rent increase shall be
effective upon installation of the equipment.

4. Exhibit B to the Site Agreement, Description of Premises, is hereby supplemented with
Exhibit B-1 attached hereto. Any and all references to Exhibit B shall hereinafter include Exhibit B-1.
5. All capitalized terms used herein, unless otherwise defined herein, shall be defined in
conformity with the terms and conditions of the Site Agreement.
6. In case of any inconsistencies between the terms and conditions contained in the Site
Agreement and the terms and conditions contained herein, the terms and conditions herein shall control.
Except as set forth herein, all provisions of the Site Agreement remain unchanged and in full force and
effect.
