AGREEMENT

WHEREAS, THE County has agreed to contract with J. E. Hill,
Contractor, P.O. Box 1356, Leesburg, Florida, 32748, to construct
\
certain boating improvement projects including Jaycee Beach Boating
Improvements, and
WHEREAS, City has agreed to make a local contribution for
Jaycee Beach Boating Improvements.
NOW THEREFORE BE IT AGREED by and between Clermont, (herein
referred to as "City"), and Lake County, a political sll,bdivision

of the State of Florida, (herein referred to as "County"), as

follows:
DESCRIPTION OF WORK
County shall contract with J. E. Hill, Contractor, for
construction in accordance with contract plans, specifications and
contract documents described in the agreement between County and
Contractor of Jayc~e Beach Boating Improvements.
CONTRACT PRICE
City shall pay to county as its local contribution the sum
of $3283.00, such payment shall be made upon execution of this
contract.
Payment of this amount is subject to additions in accordance
with the terms of the contract between County and Contractor but
not be decreased due to any deductions.
COUNTY DUTIES
County shall make no payment to contractor except as provided
1n the agreement between County and Contractor.
All duties of Contractor pursuant to the Agreement between

County and Contractor are solely the duties of Contractor. County
shall not have liability to City due tocon;t:t;'acto?=:s. f..~ilure to
perform. Any costs associated with compelling Contractor to perform
its duties, including reasonable attorneys' fees, shall be borne
by City and County equally provided however, that where County
disputes City's judgement that the contract between County and
Contractor has not been performed by Contractor as agreed all
costs of compelling performance shall be borne by City.

Any oversight of project construction accorded City by the
terms of the Contract between County and Contractor shall be
exercised in good faith. Where City's consent is a condition
precedent to a duty imposed by the Agreement between County and

has conunenced work on City's project.
EXTRA WORK
Any requests by City for changes in work shall be made in
writing. Where County disputes the necessity for any change
requested by City, City shall pay any increased cost incured as
result of the change.
COMMUNICATION
All conununication between City and County regarding performance
of this Contract and performance of the Contract between County and
Contractor shall be between George Forbes, City Manaser, and
Jerry R. Sexton, County Planning ancl Zoning Coordinator.
IN WITNESS WHEREOF, the parties to this Agreement have caused
their names to be affixed hereto by the proper officers thereof.
