1954-04 AGREEMENT WHEREAS, MORRIS DEAN of the City of Sorrento Lake , and state of Florida, hereinafter referred to as party of the first part, is a franchise holder with Harrell & Company of the state of Illinois, which company is in the business of manufacturing mausoleums, and is desirous of construct- ing a mausoleum in the cemetery in the City of Clermont, Lake County, Florida and desires to purchase property hereinafter described on which said mausoleum will be located and to have an option for the purchase of the property and will make a survey in the City of Cler- mont of those desiring crypts in a mausoleum and upon determining the number that so desire said crypts and have contracted to pay for same will thereafter construct said mausoleum on the premises hereinafter described, the size of said mausoleum to be determined, by the number of crypts that will be sold by party of the first part and the amount of the property that will be needed will be determined by the size of the mausoleum to be located thereon; and WHEREAS, the City of Clermont, a municipal corporation, here- inafter referred to as party of the second part, owns and maintains a cemetery in the City of Clermont known as Oak Hill Cemetery and feels that there may be a demand for a mausoleum in said cemetery and is willing to grant party of the first part an option to purchase the property hereinafter described and to grant said option for a period to and including December 22, 1954, during which time party of the first part will be able to determine the size of the mausoleum to be built by the number of crypts for which he is able to obtain contracts therefor; WITNESSETH, in consideration of the sum of One and no/lOOths Dollars paid by the party of the first part to party of the second part, the receipt whereof is hereby acknowledged, and in the further consideration of the agreements and covenants herein contained; it is, MUTUALLY UNDERSTOOD AND AGREED between the respective parties hereto: 1. That party of the second part will enter into an option contract with party of the first part to sell one or the other or both of the following described parcels of property situate, lying and being in the City of Clermont, Lake County, State of Florida, to-wit: Parcel No.1: Lots 3, 4, 5, 6, 27, 28, 29 and 30 of Block I; and Parcel No. 2 Lots 1, 2, 31, 32, 33 and 42, Block I; all according to the plat of Oak Hill Cemetery, a sub- division in the City of Clermont duly filed and recorded in the public records of Lake County, Florida; for the total purchase price of Parcel No. 1 of the sum of $400.00 in cash to be paid on or before the fourteenth day after the cons- truction of a mausoleum; and/or Parcel No. 2 for the total consider- ation of $300.00 to be paid on or before the fourteenth day after the construction of the mausoleum has begun. 2. That the party of the second part will enter into an option contract with party of the first part as of the date hereof providing for the purchase under said option of the hereinabove described prop- erty and all terms and conditions of said option contract as entered into between the respective parties hereto shall be made a part of this Agreement as if same was fully and at large set forth herein. 3. That the party of the first part is hereby granted authority without license to sell or contract for sale for the purchase of crypts in said mausoleum for the period from date hereof to and including December 22, 1954, said crypts, the shole or any part thereof, will not be sold or contracted for sale thereof for a price in excess of $375.00 and that otherwise such sale or contract for sale shall be made on such terms and conditions as agreeable to party of the first part. 4. That upon exercising the option contract hereinabove re- ferred to, the City of Clermont will convey by fee simple deed all of its right, title and interest in and to one or the other or both of the above described parcels of property, and that the party of the first part will furnish at his own expense the required abstract of title or title insurance thereon, the recording of his deed of conveyance together with state and federal documentary stamps thereon. 5. That upon entering into a contract for the purchase and construction of said mausoleum the party of the first part will require his contractor or sub-contractor to furnish a bond for the completion of said mausoleum which he will contract for the building thereof. 6. That upon completion of the mausoleum the party of the first part will re-convey to the party of the second part for the sum of One and no/lOOths Dollars the above described premises if so requested by second party. FLORIDA SPECIFICATIONS HULL steel-reinforced concrete standard Government Mix 5:1 Outside Walls: 8-12 inches thiok. Partition Walls between crypts: 6 inches thiok. Floor: 12 inches thick. Roof: 12 inches thick Footing: Actual depth to be determined by local conditions. EXTERIOR FACING Alabama or Indiana Limestone - Thickness: 5 inohes. INTERIOR TRIM Over top of orypts and sidepoets - Alabama or Indiana Limestone. HEADSTONES (Interior) Alabama or Italian Marble. Size: 2 feet 7 3/34 inches X 2 feet 3-3/8 inches X 7/8 inch polished one face. PROCEDURE Secure option on cemetery site for building. Survey community to determine size of building. Secure subscriptions for crypt spacs, payments for which to be made in three equal parts as follows: First third after foundation has been laid, second third when limestone for exterior facing is delivered to building site, and final third when Mausoleum is completed. OPTION CONTRACT March 2, 1954 KNOW ALL MEN BY THESE PRESENTS: That we City of Clermont, a municipal corporation, party of the first part for and in consideration of $1.00 to us paid, do hereby give and grant unto Morris Dean, franchise holder with Harrell & Company, party of the second part the sole and exclusive right and option to buy at any time :before the 22nd day of December, 1954 the following described premises, to-wit Parcel No 1: Lots 3, 4, 5, 6 , 27, 28, 29 and 30 of Block I; and/or Parcel No.2: Lots 1, 2, 31, 32, 33 and 42, Block I; all according to the plat of OakHiI Cemetery, a subdivision in the City of CIermont duly filed and recorded in the public records of Lake County, Florida, for the full purchase price of $400.00 for Parcel No. 1 and/or $300.00 for Parcel No. 2 Payment to be made on or before the fourteenth day after the construction of the mausoleum has begun. At the time of the payment in full by party of the second part, party of the first part will deliver good and sufficient merchantable title to above described property. This option is a part of an agreement entered into between the respective parties herein as of this date.
